Please read these terms carefully before using the Heispot platform. If you have any questions, contact us.

1. Introduction

Welcome to Heispot. These Terms and Conditions ("Terms") govern your use of the Heispot platform, accessible at heispot.com and any related mobile or web applications (collectively, the "Platform"), operated by Heispot B.V., registered in the Netherlands ("Heispot", "we", "us" or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please stop using the Platform immediately.

These Terms are governed by Dutch law. Any disputes will be subject to the exclusive jurisdiction of the competent courts in Rotterdam, the Netherlands.

2. Definitions

"Guest" means any user who browses, enquires about, or books a venue through the Platform.

"Host" means any user who lists a venue on the Platform.

"Listing" means a venue or space made available for booking by a Host.

"Booking" means a confirmed reservation of a Listing between a Guest and a Host.

"Service Fee" means the fee charged by Heispot to facilitate a Booking, as displayed during the checkout process.

"Content" means all text, photos, reviews, messages and other material submitted to or displayed on the Platform.

3. Eligibility

You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are 18 or older and that the information you provide is accurate and complete.

Corporate users may register on behalf of their organisation, provided they have authority to accept these Terms on the organisation's behalf.

Heispot reserves the right to refuse, suspend or terminate access to the Platform at its sole discretion, including for violations of these Terms.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@heispot.com if you suspect any unauthorised use of your account.

You may not share your account, create multiple accounts for the same person, or use automated means to access the Platform.

Heispot reserves the right to terminate accounts that are inactive for an extended period or that are found to be in breach of these Terms.

5. Bookings and Payments

Bookings are made directly between Guests and Hosts. Heispot acts as a technology platform facilitating these transactions and is not a party to the agreement between Guest and Host.

When a Booking is confirmed, the Guest agrees to pay the total price shown, which includes the venue fee set by the Host and any applicable Service Fee charged by Heispot.

Payments are processed by our third-party payment provider, Stripe. Heispot does not store full card details. By making a payment, you also agree to Stripe's Terms of Service.

Heispot will release payment to the Host after the booking period has commenced, subject to any outstanding disputes.

6. Cancellations and Refunds

Each Listing has its own cancellation policy, set by the Host and displayed on the Listing page. Guests are responsible for reading and understanding the applicable policy before confirming a Booking.

If a Host cancels a confirmed Booking, the Guest will receive a full refund of all amounts paid. Heispot will make reasonable efforts to help the Guest find an alternative venue.

In the event of circumstances beyond reasonable control (force majeure), Heispot may, at its discretion, facilitate refunds outside the standard policy. This does not create any contractual obligation to do so.

7. Host Responsibilities

Hosts are solely responsible for the accuracy of their Listings, including descriptions, photos, pricing, availability and house rules. Hosts warrant that they have the right to offer the listed space for the purposes described.

Hosts must comply with all applicable laws and regulations, including but not limited to local zoning rules, health and safety requirements, fire safety regulations and any permits or licences required to operate an event space.

Hosts are responsible for maintaining the venue in the condition described in the Listing and for ensuring a safe environment for Guests.

Hosts may not charge Guests fees or costs that are not disclosed in the Listing.

8. Guest Responsibilities

Guests are responsible for using the venue in a manner consistent with the Listing description and the Host's house rules. Guests must not exceed the maximum occupancy stated in the Listing.

Guests are liable for any damage caused to the venue or its contents during the booking period. Hosts may request a security deposit, and Guests agree that reasonable costs for damage may be charged.

Guests must vacate the venue at the agreed end time and leave it in a reasonably clean condition.

9. User Content

By submitting Content to the Platform (including reviews, photos or messages), you grant Heispot a non-exclusive, worldwide, royalty-free licence to use, display and distribute that Content in connection with operating and promoting the Platform.

You represent that you own or have the necessary rights to submit your Content and that it does not infringe any third-party rights.

Heispot reserves the right to remove Content that violates these Terms or that we consider harmful, misleading or inappropriate, without prior notice.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Heispot is not liable for:

- Any indirect, incidental, special or consequential damages arising from your use of the Platform; - The acts or omissions of Hosts or Guests; - The accuracy or completeness of Listing information; - Any loss of data, revenue or goodwill.

Heispot's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total Service Fees paid by you in the twelve months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or any other matter that cannot be excluded under Dutch law.

11. Intellectual Property

All intellectual property rights in the Platform, including its design, software, trademarks and content created by Heispot, are owned by or licensed to Heispot B.V. You may not reproduce, distribute or create derivative works without our prior written consent.

The Heispot name, logo and associated marks are trademarks of Heispot B.V. and may not be used without permission.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a notice on the Platform. The date of the most recent revision is shown at the top of this page.

Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
